Booking Terms & Conditions

1. Agreement & Binding Commitment

By engaging ESP USA, Inc. ("Company," "we," or "us"), the client ("you") enters into a binding contract for luxury experiential services. ALL SALES ARE FINAL. By submitting payment, you acknowledge that you have read, understood, and unconditionally accept these terms, including our strict no-cancellation and no-refund policy outlined in Section 4.

2. Reservations & Payment

2.1 Booking Confirmation

No reservation exists until: (a) full payment clears our account; (b) you receive written confirmation from our operations team; and (c) for bookings within 48 hours, wire transfer/ACH funds are verified. Verbal agreements or pending credit card authorizations do not constitute confirmed bookings

2.2 Payment Terms

  • Full Prepayment: All experiences require 100% payment at booking. No installment plans.
  • Standard Bookings (>48 hours): Major credit cards, verified checks (subject to hold), or wire transfer.
  • Expedited Bookings (≤48 hours): Wire transfer or ACH mandatory. Credit cards will not be accepted for short-notice bookings due to processing delays.

2.3 Pricing Integrity

Your quoted price is comprehensive and includes ground transportation, all taxes, regulatory fees, and gratuities for all staff (pilots, captains, instructors, guides). No hidden charges exist; conversely, no itemization or reduction is available for unused services.

3. Client Requirements & Manifests

3.1 Mandatory Disclosure (Aviation & Maritime)

For all helicopter and yacht experiences, you must submit a complete passenger manifest 24 hours prior to departure including:

  • Full legal name, date of birth, and government-issued photo ID (presented at boarding)
  • Accurate body weight (aviation) — misrepresentation results in immediate denial of service without refund
  • Emergency contact information and material medical conditions

3.2 Identification & Eligibility

  • All passengers must present valid government-issued photo identification.
  • Firearms participants must be 18+ (12–17 permitted with parental consent where legally allowed).
  • Clients must disclose pregnancy, mobility limitations, or health conditions affecting participation.

4. Cancellation, Refund & Rescheduling Policy (Critical)

4.1 Absolute Finality of Sale

ALL SALES ARE FINAL. NO CANCELLATIONS, MODIFICATIONS, OR REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES, including but not limited to:

  • Change of plans, schedule conflicts, or personal emergencies
  • Illness, injury, or medical incapacity
  • Travel delays, flight cancellations, or force majeure events affecting your arrival
  • Weather dissatisfaction or subjective experience quality
  • Failure to appear at designated pickup location

4.2 Weather-Related Postponements (Aviation & Maritime)

Safety-postponed activities (helicopter flights or yacht charters) may be rescheduled subject to availability at no additional cost within a reasonable timeframe determined by the Company. Rescheduling is a courtesy, not an obligation. If you cannot accommodate available dates, no refund or credit will be issued.

4.3 No-Show Policy

Failure to be ready at the designated pickup time constitutes forfeiture of the entire experience value. No rescheduling, no exceptions.

5. Yacht Charter Specific Terms

5.1 Mandatory Food Service

All yacht charters require catered cuisine selection. Yacht rentals without food service are not available. Menu selections are due at booking; alterations prohibited within 48 hours of departure.

5.2 Strict Scheduling

Charter durations (4hr, 6hr, 8hr, 12hr, 24hr) are fixed commitments. Vessels depart and return at precisely scheduled times. Extensions are impossible under any circumstances. Late arrival by clients does not extend return time or reduce charter fees.

5.3 Alcohol Policy

  • Aboard Yacht: Clients may bring unopened beer, wine, or spirits. Opened bottles must be consumed or disposed of aboard; they may not return to ground transportation vehicles.
  • Ground Transportation: Open containers are strictly prohibited in all Company vehicles. Unopened alcohol may be transported but must remain sealed.

6. Safety, Conduct & Company Authority

6.1 Company's Absolute Right to Refuse or Cancel

ESP USA, Inc. reserves the unconditional, irrevocable right to refuse service to any individual or cancel any experience at any time without prior notice, liability, or obligation for refund if we determine, in our sole discretion, that safety, security, or operational integrity is or may be compromised. This includes, but is not limited to:

  • Client behavior, demeanor, or physical condition suggesting impairment or risk
  • Environmental conditions, equipment concerns, or third-party threats
  • Failure to comply with safety protocols or manifest requirements
  • Any circumstance that, in our judgment, poses potential danger to participants, staff, equipment, or property

This reservation of rights is absolute and supersedes all other provisions herein.

6.2 Authority of Operators

Pilots, captains, and firearms instructors possess sole discretionary authority to deny boarding or remove participants for safety violations. Their decisions are final and not subject to appeal or refund claims.

6.3 Sobriety Zero-Tolerance

Participation requires complete sobriety. Any client appearing impaired by alcohol, drugs, or medication will be denied service immediately without refund. This is absolute and non-negotiable.

6.4 Firearms Range Rules

  • All participants must execute liability waivers prior to handling weapons.
  • Instructors may terminate participation immediately for safety protocol violations.
  • Closed-toe shoes mandatory; appropriate attire required for all experiences.

7. Transportation & Logistics

7.1 Punctuality

Be prepared in your hotel lobby at the confirmed pickup time. Guides build buffer time for traffic; late clients forfeit missed time without proportional refund.

7.2 Vehicle Standards

No food consumption permitted in Company vehicles (sealed beverages excepted). Violation incurs immediate $250 cleaning fee and potential termination of services.

7.3 Non-Yacht Meal Arrangements

For experiences excluding yacht catering, clients are responsible for all meal costs. Your host will provide curated restaurant recommendations; meal expenses are paid directly by you to establishments.

8. Liability, Risk & Insurance

8.1 Assumption of Risk

You voluntarily assume all risks inherent in aviation, maritime transit, firearms activities, and luxury transportation, including but not limited to equipment malfunction, weather, human error, and acts of third parties. Participation is at your sole risk.

8.2 Liability Limitation

To the fullest extent permitted by California law, ESP USA, Inc., its principals, agents, and vendors shall not be liable for personal injury, property damage, emotional distress, or consequential damages arising from your participation. Our comprehensive commercial liability insurance does not constitute a waiver of these limitations.

8.3 Insurance Recommendation

We strongly advise maintaining personal travel insurance covering trip cancellation, medical evacuation, and personal property loss, as the Company provides no financial recourse for cancelled or interrupted services.

9. Intellectual Property & Privacy

Photographs or video captured by our staff during your experience may be used for marketing purposes unless you submit written opt-out notification prior to the activity date. Clients retain rights to personal photography for non-commercial use.

10. Dispute Resolution & Governing Law

10.1 Jurisdiction

These terms are governed by the State of California without regard to conflict of law principles.

10.2 Dispute Resolution Process

Any controversy shall be resolved exclusively through: (a) good faith negotiation; (b) mediation in Los Angeles County; and if necessary, (c) binding arbitration in Los Angeles County. You waive all rights to class action participation and jury trials.

11. Force Majeure

The Company is excused from performance for circumstances beyond reasonable control including natural disasters, government action, pandemic, terrorism, or labor strikes. In such events, we will endeavor to reschedule but assume no liability and offer no refunds.

12. Severability & Entire Agreement

If any provision is deemed unenforceable, remaining terms survive in full effect. These Terms constitute the complete agreement between parties, superseding all prior communications. We reserve the right to amend terms for future bookings without retroactive application.

Acknowledgment

By remitting payment, you certify that you: (a) are of legal age and authority to bind yourself and your party; (b) understand that all sales are final with absolute no-refund policy; (c) accept that the Company may cancel or refuse service at any time for safety concerns without liability or refund; (d) accept sole responsibility for providing accurate manifest information; and (e) assume all risks associated with the experience.
